Andy Agrawal
is a Managing Partner of DecisionPoint International
and has more than 25 years of operational and transaction
experience in both large and small companies. Most recently
he was the Managing Partner of Kirchner Private Capital
Group leading both the M&A group as well as the
turnaround group for most of his tenure there. During
his time there, he was personally involved in closing
more than 30 transactions, more than a dozen operational
engagements and has been a speaker at M&A and cleantech
events. Andy was formerly the number two officer at
RehabWorks, one of the nation's largest providers of
contract therapy services to the healthcare industry
and a division of a $2B public healthcare company. He
led a number of very successful initiatives (including
the doubling of sales in six months) there through a
tumultuous course of three public company mergers and
the consolidation and reorganization of three operating
divisions into one. Andy has also been an active entrepreneur
founding two start-ups and has provided interim management
and advisory services to several early and mid-stage
high growth companies in Austin, TX, Central Pennsylvania
and Charlotte, NC. Andy was a co-founder of The Software
Colony, LLC, an “incubator” which invested
in, provided management to and actively supported healthcare
information technology companies, such as drkoop.com
and Morrison Informatics. Andy has also provided operational
support and leadership to a number of high growth companies.
He has been active in organizations and advisory boards
focused on mentoring and advising high growth companies,
including the Commercialization Committee for the University
of North Carolina at Charlotte (Technology Transfer).
He holds a BA, cum laude, from Vassar College and a
JD, magna cum laude, from the Boston University School
of Law. Mr. Agrawal authored an article entitled, Forging
a Path to Death and Dignity, which was published in
the Boston University School of Law’s Law Review.

| Doug
Ellis is a Managing Partner of DecisionPoint International.
Ellis has over 20 years of experience in investment
banking and technology. Prior to founding DecisionPoint
he was Managing Director and head of global M&A
for a boutique investment banking firm. Ellis also served
in management roles with Lucent Technologies, AT&T,
and AMSCO Engineering Services. He has closed transactions
with companies such as CIENA, Pomeroy, NIIT, and USinternetworking.
Ellis currently serves on various corporate boards and
technology committees. He holds a Bachelor of Science
degree in Business / Finance from Wake Forest University.

Nash is a Managing Partner of DecisionPoint International.
Nash brings over 20 years of technology investment banking
and securities experience to DecisionPoint. Prior to
founding DecisionPoint, Nash was the Senior Managing
Director of technology M&A at an international investment
bank. Nash has focused his expertise on transactions,
domestic and international, in the IT Services, Communications
and Software sectors. Recent accomplishments include
deals with Agilysys, Sanmina, Xircom and SilverStream
Software. He is a member of various associations relating
to M&A and technology and is active in the technology
community. He has also been a guest lecturer for entrepreneurial/finance
classes regarding M&A and business valuations. Nash
holds a Bachelor of Science degree from Wake Forest
University.

| Tom
Wilson is a Managing Partner of DecisionPoint. Wilson
is a seasoned business executive with over 25 years
experience in the technology industry. His strategic
and general management skills include experience in
developing and growing new businesses, managing international
operations and finances, raising capital from angel,
institutional and debt sources, and negotiating the
sale of companies to strategic buyers. Prior to joining
DecisionPoint, he served as Chairman and CEO of NuTech
Solutions, an innovative business intelligence software
company which was acquired by Netezza Corporation. At
NuTech, Wilson was instrumental in refocusing the company,
raising equity and debt financing, and leading the efforts
to sell to a strategic buyer. Prior to joining NuTech,
he served as the President of Osprey, a consulting and
systems integration firm, which was acquired by NIIT,
Limited. At Osprey, Wilson launched a new strategic
division, assisted in the raising of a venture investment
from Morgan Stanley Venture Partners, led the organization's
repositioning as a provider of packaged services offerings,
and was instrumental in the sale of the business. Wilson
joined Osprey after 14 years with IBM where he served
in a variety of general management, sales, and marketing
positions, including leading a $430 million solutions
and services organization. Wilson is also an active
participant in a structured angel investment group,
Charlotte Angel Partners, which was created to evaluate,
finance, and grow early stage companies. He holds a
B. S. in Finance from Clemson University and an MBA
from Duke University. He has served on the board and
as Chairman of several community organizations including
the US National Whitewater Center, NC Innovative Development
for Economic Advancement (NC IDEA), UNC Charlotte College
of Computing and Informatics, Junior Achievement, the
North Carolina Dance Theatre, and the United Way. Wilson
is a frequent speaker on business development and information
technology issues and has presented to many industry
conferences, civic groups, corporations, and organizations.

| With
strong analytical skills and keen insight into today’s
technology and financial markets, Persson works closely
with DecisionPoint’s executive team for the company’s
M&A initiatives. In addition to advising active
clients, his role includes identifying and supporting
client transactions, analyzing industry segments and
market trends, identifying and evaluating acquisition
candidates and supporting transaction negotiations.
A multilingual native of Sweden, Persson plays a critical
role in fostering DecisionPoint’s relationships
with European clients. During his career, Persson has
managed various components of the transaction process
for such clients as PhoneXtra, NuTech Software Solutions,
Freeborders and Creative Digital Group. Persson holds
a BS in Finance from Lander University and an MBA from
Winthrop University.
