Optimizing Transactions Through Operational Expertise

About DecisionPoint

About DecisionPoint
Overview

DecisionPoint is a premier M&A Advisory firm located in Charlotte, NC, the second largest banking center in the US. Our firm has a solid track record of completing successful transactions for technology companies. The partners have completed more than 170 transactions worldwide since DecisionPoint’s inception in 1998.

We work in close partnership with our clients to consistently help them realize their objectives through a combination of transaction and operational experience, domain expertise, and personal commitment to the success of our clients and their shareholders.

“DecisionPoint was instrumental in the successful sale of our company. Tom Wilson and the team led our board through a complex process and provided us expert advice and turnkey services, from helping to value our company and negotiating deal terms, all the way through to successful completion. While the board originally debated the merits of even retaining a banker, DecisionPoint’s knowledge and experience were invaluable during every facet of the deal. It was a great decision to retain them.”

Team

Our expertise exists in two areas: transactional with strategic buyers and sellers and operational from executive management roles. The firm’s transactional expertise, combined with our “in the trenches” perspective makes us uniquely qualified to optimize the results we achieve for our clients. We take into consideration all aspects of a deal, including financial, strategic, technological (e.g. intellectual property), operational and cultural.

DecisionPoint has credibility with the other party in a transaction as we have the operational background to go beyond the typical “financial engineering” approach taken by many intermediaries. We bring to every engagement not only deal expertise from both the buy side and sell side, but also the perspective of the senior management, board members and shareholders/investors. The fact that we have worn all of these hats makes us uniquely qualified to negotiate and structure deals for our clients that lead to a successful outcome.

“We found the process to be much easier than we had expected. The DecisionPoint team was available 24/7 for whatever guidance we needed, and Andy Agrawal was anticipating what would happen next so we were always ready for information requests and questions. Because the constant communications and trust-building involved, we were able to move along with confidence on both sides of the deal, believing the transaction was fair, and I felt sure the Company would continue its growth and successful operations. We had lots of opportunities for success, and we got the deal we wanted. I don’t know how the experience could have been any better”

Our Expertise
Focus Areas

Our M&A practice is focused on the middle market, representing primarily North American-based companies in the following industries:

       technology (software and services)

       healthcare IT

       telecommunications

       business services

Many of our sell side clients come from US and Canadian venture capital firms with whom we have relationships. Many of these firms view us as a trusted advisor, not only with respect to achieving liquidity, but also relying upon our operational expertise to assist with building value within the portfolio. Other clients originate from recommendations by former clients, in addition to many referral sources which have been cultivated over the years.

"Doug’s contacts were invaluable in moving discussions forward with firms like AT&T, Cisco, Ericsson, IBM and Nortel.”

Our Value Proposition

Our partners bring decades of operational, financial and transactional experience to each engagement. We optimize the positioning of each opportunity to capture the uniqueness of our clients’ businesses and to build the unique operational pieces into the story, including IP, key personnel, key relationships with customers and partners, proprietary technology and a host of other elements which point out the differentiation and strategic advantages.

Each of our client engagements is managed by one of our Managing Partners who runs each deal with a hands-on, roll-up-your-sleeves style that we believe is essential to success. Our typical deal team consists of a Managing Partner and an Analyst for support.
