Charlotte, NC; April 7, 2003 - DecisionPoint International (“DecisionPoint”), a boutique Investment Bank providing merger and acquisition services to middle-market technology clients, announced today that its client, Stellcom, Inc. (“Stellcom”), a systems integrator recognized for its advanced expertise in mobility and enterprise engineering solutions, has successfully completed its merger with privately-held Vytek Wireless, Inc. (“Vytek”), a global provider of integrated mobile solutions for business and government. The new company, to be known as Vytek, will capitalize on complementary areas of expertise to deliver a broader and deeper range of emerging enterprise solutions currently not offered by any company.

“Vytek means one-stop shopping for extended computing solutions,” said James Ousley, chief executive officer and president of Vytek. “Today’s merger marks the first time a single company can offer this broad range of pervasive computing products and services. Our depth of understanding of every detail with regard to data or content delivery — from the back end systems, across the networks and into the device — enhances our ability to develop and deliver the best solutions in the least amount of time.”

The companies provide mobile and emerging technology expertise to leading platform providers including Cisco Systems, Hewlett Packard, Intel, Microsoft, Motorola and Symbol Technologies. Current Fortune 1000 customers include Southwest Airlines, Barnes & Noble, Sempra Energy and Sony. Both firms are backed by major venture capital groups, including Stellcom investors Frontenac Company, Mission Ventures and Goldman Sachs and Vytek investors Mobius Venture Capital, Charterhouse Group International and CIBC World Markets.

“Today’s merger puts us exactly where we want to be — perfectly positioned to support today’s enterprise with self-service access to content via portals and mobile applications,” said Tracy Trent, chief executive officer of Stellcom. “With combined expertise in the critical areas of emerging technologies and mobility, Stellcom and Vytek can provide Fortune 1000 customers with high performance messaging and content delivery, software and hardware platform technologies, and mobile device innovation.”

Ousley will serve as chief executive officer of the combined company and Trent will serve as executive vice president and general manager. As part of the merger, Vytek will relocate its corporate headquarters to San Diego, California and take advantage of existing facilities to support the company’s growth initiatives. The company has offices in nine cities across the country and customers throughout the world.
